Jurisdiction

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, excluding its conflicts of law principles, except on matters governed by the Federal Arbitration Act. 

Without waiving the foregoing arbitration clause, you agree that any dispute arising from or relating to the subject matter of these Terms of Use shall be governed by the exclusive jurisdiction and venue of the state and federal courts of New York County, New York, except where the jurisdiction and venue are mandated by applicable law.

In the event that a court determines any provision of these Terms of Use to be invalid or unenforceable, the other provisions will remain valid and enforceable. If a portion of an unlawful or unenforceable provision could be deemed valid or enforceable by removing a part of it, that part will be considered deleted, while the remainder of the provision will continue to be effective.
